Allgemeine Geschäftsbedingungen (AGB)

§ 1 Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für die Nutzung der von der HAIVE UG (haftungsbeschränkt), Graf-Landsberg-Straße 37, 59597 Erwitte (nachfolgend „Anbieter") betriebenen Plattform „neurally" (Web-Dashboard und zugehörige Dienste).

Mit der Registrierung und Nutzung der Plattform akzeptiert der Nutzer diese AGB. Abweichende Bedingungen des Nutzers werden nicht anerkannt, es sei denn, der Anbieter stimmt ihrer Geltung ausdrücklich schriftlich zu.

§ 2 Leistungsbeschreibung

neurally bietet eine digitale Plattform für neurozentriches Training (NCT) für Fachkräfte im Gesundheitswesen („Trainer"). Das Web-Dashboard ermöglicht Trainern die Verwaltung von Patienten, die Zuweisung von Trainingstools und die Überwachung des Fortschritts.

Der Anbieter ist berechtigt, den Funktionsumfang der Plattform jederzeit zu erweitern, zu ändern oder einzuschränken, sofern dies dem Nutzer zumutbar ist.

§ 3 Registrierung und Nutzerkonto

  • Der Nutzer muss bei der Registrierung wahrheitsgemäße Angaben machen.
  • Der Nutzer ist für die Sicherheit seiner Zugangsdaten verantwortlich.
  • Pro Person ist nur ein Nutzerkonto zulässig. Die Weitergabe von Zugangsdaten an Dritte ist nicht gestattet.
  • Der Anbieter behält sich das Recht vor, Nutzerkonten bei Verstoß gegen diese AGB zu sperren oder zu löschen.

§ 4 neurally Pro — Kostenpflichtiges Angebot

  • neurally Pro ist ein einmaliger Kauf, der Pro-Funktionen für 12 Monate freischaltet.
  • Es handelt sich nicht um ein Abonnement — es erfolgt keine automatische Verlängerung oder erneute Belastung.
  • Die Zahlungsabwicklung erfolgt über den Zahlungsdienstleister Stripe.
  • Erstattungen werden im Einzelfall geprüft. Kontakt: help@neurally.co.

§ 5 Pflichten des Nutzers

Der Nutzer verpflichtet sich:

  • die Plattform nicht für rechtswidrige Zwecke zu nutzen;
  • keinen unbefugten Zugang zu Systemressourcen zu erlangen;
  • keine falschen oder irreführenden Patientendaten einzugeben;
  • den Zugang nicht weiterzuverkaufen, weiterzugeben oder unterzulizenzieren;
  • geltende Datenschutzgesetze und medizinische Vorschriften einzuhalten.

§ 6 Datenschutz

Die Nutzung von neurally unterliegt zusätzlich unserer Datenschutzerklärung. Der Nutzer ist für die in das System eingegebenen Patientendaten verantwortlich und muss die geltenden Datenschutzvorschriften (insbesondere DSGVO) einhalten.

§ 7 Haftung

neurally ist ein Trainingsunterstützungstool und kein Ersatz für professionelles medizinisches Urteil.

Der Anbieter haftet unbeschränkt bei Vorsatz und grober Fahrlässigkeit. Bei leichter Fahrlässigkeit haftet der Anbieter nur bei Verletzung wesentlicher Vertragspflichten und nur bis zur Höhe des vorhersehbaren, vertragstypischen Schadens.

Die Haftung für mittelbare Schäden, Folgeschäden und entgangenen Gewinn ist – soweit gesetzlich zulässig – ausgeschlossen.

§ 8 Verfügbarkeit

Der Anbieter bemüht sich, die Plattform möglichst unterbrechungsfrei zur Verfügung zu stellen. Ein Anspruch auf eine bestimmte Verfügbarkeit besteht nicht. Wartungsarbeiten und technische Störungen können zu vorübergehenden Einschränkungen führen.

§ 9 Änderungen der AGB

Der Anbieter behält sich das Recht vor, diese AGB jederzeit zu ändern. Änderungen werden den Nutzern rechtzeitig mitgeteilt. Die weitere Nutzung der Plattform nach Inkrafttreten der Änderungen gilt als Zustimmung.

§ 10 Anwendbares Recht und Gerichtsstand

Es gilt das Recht der Bundesrepublik Deutschland. Gerichtsstand ist der Sitz des Anbieters, soweit der Nutzer Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist.

Terms of Service

1. Scope

These Terms of Service apply to the use of the "neurally" platform (web dashboard and associated services) operated by HAIVE UG (haftungsbeschränkt), Graf-Landsberg-Straße 37, 59597 Erwitte, Germany (hereinafter "Provider").

By registering for and using the platform, the user accepts these terms. Deviating terms of the user are not recognised unless the Provider expressly agrees in writing.

2. Service Description

neurally provides a digital platform for neurocentric training (NCT) for healthcare professionals ("Trainers"). The web dashboard enables Trainers to manage patients, assign training tools and monitor progress.

The Provider reserves the right to expand, modify or restrict the scope of the platform at any time, provided this is reasonable for the user.

3. Registration and User Account

  • The user must provide truthful information during registration.
  • The user is responsible for maintaining the security of their credentials.
  • Only one account per person is permitted. Sharing credentials with third parties is not allowed.
  • The Provider reserves the right to block or delete accounts that violate these terms.

4. neurally Pro — Paid Offering

  • neurally Pro is a one-time purchase that unlocks Pro features for 12 months.
  • It is not a subscription — you will not be automatically renewed or charged again.
  • Payment processing is handled by Stripe.
  • Refunds are handled on a case-by-case basis. Contact: help@neurally.co.

5. User Obligations

The user agrees not to:

  • use the platform for unlawful purposes;
  • attempt to gain unauthorised access to system resources;
  • submit false or misleading patient data;
  • resell, redistribute, or sublicence their access;
  • violate applicable data protection laws and medical regulations.

6. Data Protection

Your use of neurally is additionally governed by our Privacy Policy. You are responsible for patient data entered into the system and must comply with applicable data protection regulations (in particular GDPR).

7. Liability

neurally is a training support tool and not a substitute for professional medical judgment.

The Provider is liable without limitation in cases of intent and gross negligence. In cases of slight negligence, the Provider is only liable for the breach of essential contractual obligations and only up to the amount of foreseeable, contract-typical damages.

Liability for indirect damages, consequential damages and lost profits is excluded to the extent permitted by law.

8. Availability

The Provider endeavours to make the platform available without interruption. There is no entitlement to a specific level of availability. Maintenance and technical disruptions may lead to temporary restrictions.

9. Amendments

The Provider reserves the right to amend these terms at any time. Changes will be communicated to users in good time. Continued use of the platform after changes take effect constitutes acceptance.

10. Governing Law and Jurisdiction

These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is the registered office of the Provider, insofar as the user is a merchant, a legal entity under public law, or a special fund under public law.
